This draft documents the intended platform rules and safeguards. North Carolina counsel and counsel in each launch state must approve the final version before live transactions begin.
Platform role
Ruopta provides marketplace, record and workflow tools. The production terms will identify when the licensed real-estate firm, auction firm or another provider acts as broker, auctioneer, payment facilitator, document custodian or neutral platform.
Accounts and eligibility
Users must provide accurate information and protect account access. Identity, ownership, bidder qualification, professional license or insurance review may be required. Administrator, moderator, accounting and auction-management permissions cannot be self-assigned.
Listings, bids and auctions
Listing rules, method, reserve, increment, opening and closing time become a versioned snapshot. In production they will lock after the first accepted bid. Sealed bids remain private from competing bidders. Timed auctions use server time and disclosed extension rules. Sellers may reject all offers only when the listing terms allow it.
Agreements
Quick-add clauses are drafting aids, not legal advice. Ruopta may place an attorney-reviewed indemnity and hold-harmless module inside an eligible written lease. Approved legal modules remain locked; changing their wording, circumstances, or approved state creates an unreviewed draft and disables signing until the required review is complete. Insurance is a separate optional lease requirement, and Ruopta does not sell or issue insurance. No agreement eliminates all liability, prevents every claim, or creates insurance coverage. Electronic execution will require consent, identity controls, immutable final-document storage and an e-sign provider.
Payments
Operating revenue such as subscriptions and approved advertising must remain separate from client funds. Rent, deposits, earnest money, auction proceeds, security and holdbacks stay disabled until the applicable trust or custodial accounts and processor flow are approved. Posted accounting entries are corrected by reversal, not deletion.
Disputes and enforcement
Ruopta may hold publication or delivery, preserve records, limit access and investigate suspected fraud, unsafe content, chargebacks or rule violations. Final terms will include notice, appeal, refund, governing-law and dispute-resolution provisions approved by counsel.
